1. Purpose and scope These General Terms of Use (hereinafter the “GTU”) are intended to define the conditions for access, use, operation, and management of the services offered through the ILMSKILL platform. ILMSKILL is a brand and platform operated by SASU Alpha Inova, with share capital of EUR 1,000, registered with the Rouen Trade and Companies Register under number 914 975 735, whose registered office is located at 72 rue de la République, 76140 Le Petit-Quevilly (France), represented by its President, Mr. Mohamed Amine Chilah (hereinafter the “Publisher”). The ILMSKILL platform notably enables: • management and secure transmission of digital content and training packs; • management of exploitation licenses; • provision of contractual documents; • management, validation, and monitoring of electronic documents; • transmission of supporting documents; • electronic signature of documents; • access to associated digital resources and services. These GTU apply to any access to or use of the ILMSKILL platform by any professional user, client, representative, collaborator, or authorized signatory (hereinafter the “User”). The ILMSKILL platform is mainly intended for professional use (B2B). The User declares that they are acting in the course of their professional activity or on behalf of a duly identified legal entity. Any use of the platform implies full and unconditional acceptance of these GTU, without restriction or reservation. These GTU are independent from: • license agreements entered into between the Publisher and its clients; • the privacy policy applicable to Personal Data processing; • any commercial document, quote, or specific agreement entered into with the Client. In the event of any contradiction between these GTU and a license agreement or specific agreement entered into with the Client, the provisions of the relevant agreement shall prevail for matters within its scope. 2. Definitions For the purposes of these GTU, the following terms have the meanings below: “ILMSKILL” or “Platform” Means the software platform operated by Alpha Inova enabling, in particular, license management, secure transmission of digital content, management and validation of electronic documents, electronic signature of documents, and access to associated services. “Publisher” Means Alpha Inova, operator of the ILMSKILL platform. “Administration” Means the administrative services, representatives, management tools, or systems operated by the Publisher within the framework of operation and management of the ILMSKILL platform. “User” Means any natural person accessing or using the ILMSKILL platform, notably as a client, representative, collaborator, authorized signatory, or temporarily authorized user. “Client” Means any legal entity that has entered into an agreement, subscribed to a license, or used services offered through the ILMSKILL platform. “Account” Means the personal or professional digital space enabling an authorized User to access the platform’s features. “Document” Means any contract, form, supporting document, invoice, transmitted file, file item, or documentary element accessible, generated, signed, downloaded, or validated through the platform. “Educational Materials” Means all content, documents, videos, assessments, files, presentations, digital resources, and educational elements made available through the platform. “Training Pack” Means a structured set of digital educational materials subject to an exploitation license. “License” or “Exploitation License” Means the contractual right granted to the Client to use educational materials under the conditions provided in the applicable agreement. “Consent” Means any freely given, specific, informed, and unambiguous indication of will expressed electronically by the User in the context of using the platform or validating an operation, document, or service. “Evidentiary Elements” Means all data, logs, timestamps, validations, technical traces, electronic signatures, IP addresses, session identifiers, and traceability information retained for evidentiary purposes. “Electronic Signature” Means any electronic process used through the platform to express a signatory’s consent to a document or contract, together with technical traceability and evidentiary elements. “Personal Data” Means any information relating to an identified or identifiable natural person within the meaning of applicable personal data protection regulations. “Activity Logs” Means technical records generated when using the platform, including in particular connections, actions, downloads, validations, electronic signatures, and associated technical events. “Electronic Validation” Means any electronic action enabling confirmation, acceptance, transmission, signature, or approval of a document, information item, or operation through the platform. “Customer Service” Means technical and functional support provided by the Publisher under the conditions set out in applicable contractual documents. “Content” Means any element, data, document, file, text, image, video, interface, feature, or information accessible through the ILMSKILL platform. 3. Acceptance of the GTU Access to and use of the ILMSKILL platform imply full acceptance of these General Terms of Use by any User. Such acceptance may result in particular from: • creation of an account; • access to the platform; • use of the features offered; • electronic signature of a document; • electronic validation of a form, contract, or consent; • or any effective use of services accessible through the platform. The User acknowledges having read these GTU before any use of the platform and undertakes to comply with them throughout the entire duration of service use. Where the User acts on behalf of a legal entity, the User declares and warrants that they are duly authorized to bind that entity in connection with use of the platform and associated services. The Publisher reserves the right to amend these GTU at any time in particular to adapt them to: • technical developments of the platform; • legal, regulatory, or case-law developments; • functional or commercial developments of the services offered. The applicable GTU are those in force on the date of access, use, or validation of the relevant services. The Publisher may retain technical evidence relating to acceptance of these GTU, including timestamps, IP addresses, electronic validations, and associated activity logs. In case of disagreement with these GTU, the User must immediately stop any use of the ILMSKILL platform. 4. Access to the platform and account creation Access to certain features of the ILMSKILL platform may require prior creation of a User Account. The User undertakes to provide accurate, complete, and up-to-date information when creating an account or using services offered through the platform. The User remains solely responsible for: • the accuracy, lawfulness, validity, and authenticity of information, documents, and statements transmitted through the platform; • confidentiality of their login credentials; • access, operations, and validations performed from their account; • security of their equipment, passwords, and authentication means. The User undertakes to promptly inform the Publisher of any unauthorized use of their account, loss of credentials, suspicion of fraudulent access, or security breach. Access to the platform is strictly personal and reserved for authorized Users. The Publisher is under no general obligation to verify in advance the identity, authority, accuracy, or authenticity of information, documents, or statements transmitted by Users through the platform. However, the Publisher may perform any verification, request additional information, or suspend, restrict, or delete access where a behavior, document, or situation appears: • incomplete; • inconsistent; • manifestly erroneous; • fraudulent; • likely to compromise security; • or likely to affect normal operation of the platform. The Publisher reserves the right to refuse, suspend, or delete any account: • in case of unauthorized or fraudulent use; • in case of breach of these GTU or applicable contractual documents; • in case of harm to the security, integrity, or proper functioning of the platform; • or in case of non-compliance with obligations applicable to the User. Access to certain features may be subject to: • prior document validation; • transmission of supporting documents; • administrative validation; • existence of an active license; • or compliance with applicable contractual conditions. The Publisher may implement any technical or security measure deemed necessary, including: • authentication controls; • limitation or suspension of access; • logging of connections and operations; • protective measures against abusive or fraudulent use; • or verification of certain sensitive access, actions, or documents. The Publisher implements reasonable technical and organizational measures intended to ensure platform security and proper operation. However, the Publisher does not guarantee total absence of risk, including in case of: • sophisticated cyberattacks; • external malicious acts; • technical failures beyond its reasonable control; • or force majeure. Subject to applicable mandatory legal provisions, the Publisher shall not be liable for data loss, unavailability, service interruptions, or indirect damages resulting from such events. The Publisher does not guarantee permanent, continuous, or uninterrupted availability of the platform. Access may in particular be temporarily suspended for reasons of: • maintenance; • security; • technical evolution; • incident correction; • service updates; • or technical infrastructure changes. The Publisher also reserves the right to suspend, limit, modify, transfer, or terminate, temporarily or permanently, all or part of the ILMSKILL platform, in particular in case of: • technical or commercial evolution; • restructuring; • merger; • acquisition; • sale of business; • or cessation of operations. The Publisher may also transfer operation of the platform to any affiliated company, acquirer, or successor in connection with a legal or commercial transaction. 5. Features and services offered The ILMSKILL platform provides access to various digital services, features, and tools primarily intended for professional use (B2B). Features offered may include in particular: • management and secure transmission of digital content and training packs; • management of exploitation licenses; • consultation, download, and organization of digital documents; • management, validation, and monitoring of electronic documents; • transmission of supporting documents; • electronic signature of documents; • management of user spaces and professional accounts; • retention of technical traceability and evidentiary elements; • technical assistance and support services; • as well as any associated feature, resource, or service offered by the Publisher. Certain features may be: • reserved for certain Users; • subject to specific contractual conditions; • conditional upon existence of an active license; • limited depending on account, service, or subscription type; • or require prior validations, supporting documents, or authorizations. The Publisher reserves the right: • to add, modify, limit, suspend, or remove all or part of the features offered; • to evolve the platform interface, architecture, or technical modalities; • or to condition access to certain features on technical, administrative, or contractual requirements. Features offered through the platform may evolve at any time without this constituting a modification of license agreements or contractual commitments separately concluded with Clients. The Publisher does not guarantee that all features will be available permanently, continuously, or identically in all territories, technical environments, or user configurations. Certain features may rely on services, infrastructures, or technologies operated by third-party providers. The Publisher shall not be liable for limitations, unavailability, or malfunctions directly attributable to such third-party services. 6. Digital delivery of licensed packs The ILMSKILL platform allows training packs and digital content subject to exploitation licenses to be made available under conditions provided by applicable agreements. The ILMSKILL platform mainly operates in a professional context (B2B). The User and the Client declare that they act in the course of their professional activity. Training packs, educational materials, and digital content may in particular be delivered in the form of downloadable digital files, secure electronic access, or any other technical means determined by the Publisher. The delivery obligation is deemed fulfilled as soon as the relevant content, packs, or access means are made available or accessible to the Client through the platform or by any other appropriate electronic means. Making available may in particular take the form of: • access to a secure space; • a download link; • access to digital resources; • secure electronic transmission; • or any other technical process enabling access to the relevant content. The Publisher may record and retain Evidentiary Elements relating to making available, access, download, consultation, validation, or use of digital content, including in particular: • timestamps; • IP addresses; • electronic validations; • session identifiers; • activity logs; • or any other technical traceability data. These elements may be retained for purposes of: • security; • evidence; • audit; • fraud prevention; • defense of the Publisher’s rights; • or compliance with applicable legal and contractual obligations. Access to certain content or features may be conditioned upon: • existence of a valid license; • full payment of sums due; • prior validation of documents; • transmission of supporting documents; • administrative validation; • or compliance with applicable contractual conditions. The Publisher does not guarantee compatibility of digital content with all equipment, software, infrastructures, browsers, third-party systems, or technical environments used by the Client, unless expressly provided otherwise. Where content, formats, modules, or resources are provided on an ancillary or complementary basis, including SCORM files or equivalent formats, they are provided without warranty of adaptation to a specific technical environment. The User remains solely responsible for: • use of digital content; • compatibility of their technical environment; • integrations carried out; • adaptations performed; • and conditions of content use within their organization. 7. Electronic signature and legal effect The ILMSKILL platform may enable electronic signature of documents, agreements, forms, validations, consents, or digital operations within the framework of services offered by the Publisher. The User acknowledges and accepts that electronic signatures made through the platform may produce the same legal effects as a handwritten signature, subject to applicable legal provisions. Any electronic validation, electronic signature, acceptance, confirmation, or transmission carried out through the platform may be used as evidence in contractual relations between the Parties. The User acknowledges that: • electronic processes used through the platform make it possible to identify the signatory; • electronic validations and signatures are associated with technical traceability elements; • actions carried out from their account or authentication environment are deemed performed under their responsibility; • traceability data may be retained for evidentiary purposes. The Publisher may in particular record and retain Evidentiary Elements relating to: • declared identity of the signatory; • timestamps; • IP addresses; • session identifiers; • activity logs; • electronic consents; • validations carried out; • signed documents; • as well as any technical data linked to the electronic signature process. The User declares that they hold the powers, authorizations, and capacities necessary to electronically sign relevant documents and, where applicable, bind the entity they represent. The Publisher is under no general obligation to verify in advance powers, capacities, authorizations, or entitlements declared by Users in connection with electronic signatures made through the platform. However, the Publisher may: • request additional supporting documents; • suspend or refuse a signature; • restrict certain features; • or carry out additional checks, where a situation appears inconsistent, incomplete, fraudulent, or likely to affect security, validity of operations, or normal operation of the platform. Electronically signed documents may be retained in digital form, together with associated Evidentiary Elements, for periods deemed necessary by the Publisher in view of: • legal obligations; • contractual requirements; • security needs; • evidentiary imperatives; • or defense of its rights. The User acknowledges that certain documents or operations may require: • prior validation; • specific consents; • additional supporting documents; • or specific technical conditions, before they may be electronically signed through the platform. 8. User obligations and responsibilities The User undertakes to use the ILMSKILL platform in good faith, lawfully, and in accordance with these GTU, applicable agreements, and regulations in force. The User remains solely responsible for: • information, documents, content, and data transmitted through the platform; • use carried out from their account; • operations, validations, and signatures made through the platform; • compliance of their activities with applicable regulations; • as well as any use carried out by persons under their responsibility or having authorized access to their account or digital spaces. The User undertakes in particular to: • provide accurate, complete, and up-to-date information; • use the platform only within the scope of granted rights and authorizations; • comply with applicable intellectual property rights; • preserve confidentiality of credentials and authentication means; • maintain security of their equipment and access systems; • not compromise security, integrity, or operation of the platform; • promptly inform the Publisher of any unauthorized use, fraud, security flaw, or suspicious incident. The User is notably prohibited from: • using the platform for unlawful, fraudulent, or abusive purposes; • transmitting false, misleading, or fraudulent information; • bypassing, disrupting, or attempting to bypass implemented security measures; • accessing or attempting to access accounts, data, systems, or content without authorization; • using automated processes likely to affect normal operation of the platform; • infringing rights of the Publisher, Clients, or third parties; • diverting platform features from their normal purpose; • or using the platform in a way likely to engage the Publisher’s liability. The User remains solely responsible for consequences resulting from: • use of content and services accessible through the platform; • technical integrations carried out; • documents transmitted; • signatures performed; • electronic validations made; • or decisions taken based on content or services offered. The Publisher shall not be liable for: • fraudulent or unlawful actions of Users; • inaccurate or misleading information provided by Users; • unauthorized uses carried out under a User’s responsibility; • nor consequences resulting from non-compliance with these GTU or applicable contractual documents. The User undertakes to indemnify the Publisher against any claim, action, proceeding, judgment, loss, damage, cost, or expense resulting from: • breach of these GTU; • unlawful or abusive use of the platform; • fraud; • infringement of third-party rights; • or non-compliance with obligations applicable to the User. 9. Restrictions of use and prohibited conduct Use of the ILMSKILL platform must remain consistent with its purpose, these GTU, applicable agreements, and regulations in force. It is strictly prohibited for any User, directly or indirectly, to: • use the platform for unlawful, fraudulent, misleading, or abusive purposes; • provide false, falsified, misleading, or unauthorized information, documents, or supporting evidence; • impersonate a third party or present themselves as authorized without having necessary authorizations; • use the platform to circumvent legal, contractual, or regulatory obligations; • access or attempt to access accounts, content, documents, systems, or data without authorization; • disrupt, compromise, overload, bypass, or alter normal operation of the platform; • introduce malicious programs, automated scripts, viruses, bots, extraction tools, or any process likely to affect security or system integrity; • perform reverse engineering, decompilation, extraction, reproduction, or attempts to analyze source code, architecture, or technical mechanisms of the platform, except where mandatory legal provisions provide otherwise; • use electronic signature, validation, or document transmission features for fraudulent or misleading purposes; • exploit content accessible through the platform outside granted rights; • infringe intellectual property rights of the Publisher or third parties; • divert platform features from their normal purpose; • or use the platform in a way likely to affect the security, integrity, availability, or reputation of the platform or the Publisher. It is also prohibited to: • resell, sublicense, redistribute, or make available to third parties any content, documents, or resources accessible through the platform in breach of applicable agreements; • share access credentials outside authorized uses; • allow unauthorized access to third-party persons or entities; • or bypass technical, contractual, or functional limitations implemented by the Publisher. The Publisher may take any measure deemed necessary in case of breach of these provisions, including: • suspension or deletion of the relevant account; • restriction of access to certain features; • suspension of services; • refusal to validate documents; • retention of Evidentiary Elements; • or any appropriate technical, contractual, or judicial action. Any unauthorized use of the platform or content accessible through it may engage the User’s liability and may give rise to any appropriate action by the Publisher. 10. Suspension, restriction, or deletion of access The Publisher reserves the right to suspend, restrict, limit, or delete, temporarily or permanently, access to all or part of the ILMSKILL platform, an Account, a service, or a feature, without compensation, where such measure appears necessary, in particular: • in case of breach of these GTU or applicable contractual documents; • in case of unauthorized, fraudulent, abusive, or unlawful use; • in case of reasonable suspicion of fraud, identity theft, or misleading use; • in case of transmission of false, falsified, incomplete, or inconsistent information, documents, or supporting evidence; • in case of harm or risk of harm to security, integrity, or proper operation of the platform; • in case of attempted unauthorized access, circumvention of security measures, or abusive use of services; • in case of non-compliance with payment obligations or applicable contractual conditions; • in case of request from a competent authority; • or more generally where a situation is likely to engage the Publisher’s liability or harm its rights, its services, its Clients, or third parties. The Publisher may also: • suspend certain operations or validations; • request supporting documents or additional elements; • restrict access to certain features; • refuse certain documents or electronic signatures; • or impose additional security measures. Measures taken by the Publisher may be implemented without prior notice where justified by requirements of: • security; • compliance; • fraud prevention; • system protection; • or compliance with applicable legal and regulatory obligations. The Publisher remains free to assess the technical, administrative, or contractual measures it deems necessary to ensure security, integrity, compliance, and proper operation of the platform. Suspension, restriction, or deletion of access does not give rise to any compensation, refund, or indemnity, except where otherwise required by mandatory law or express contractual provision. In case of account deletion or cessation of access to the platform, the Publisher may retain certain Evidentiary Elements, documents, activity logs, or technical data for periods necessary: • to comply with its legal obligations; • for fraud prevention; • for system security; • for dispute management; • or for defense of its rights. Suspension, restriction, or deletion of access to the platform is without prejudice to other rights, actions, or remedies available to the Publisher. 11. Intellectual property of the platform and content The ILMSKILL platform, its architecture, interfaces, features, graphic elements, trademarks, logos, names, databases, content, software, technologies, systems, documentation, tools, visual elements, audio elements, texts, source code, object code, processes, structures, workflows, and more generally all elements composing the platform or accessible through it remain the exclusive property of the Publisher or their respective right holders. These GTU entail no transfer of intellectual property rights to Users or Clients. Subject to rights expressly granted in applicable license agreements, no right of reproduction, representation, adaptation, modification, extraction, distribution, exploitation, commercialization, redistribution, or use of protected elements accessible through the platform is granted to Users. The User is in particular prohibited from: • reproducing, copying, distributing, publishing, or exploiting all or part of the platform or its content outside granted authorizations; • performing reverse engineering, decompilation, extraction, disassembly, or attempts at technical analysis of the platform, except where mandatory legal provisions provide otherwise; • removing, modifying, or altering intellectual property, identification, or protection notices; • diverting content or features from their normal purpose; • using Publisher trademarks, logos, names, or distinctive elements without prior written authorization; • or infringing, directly or indirectly, intellectual property rights of the Publisher or third parties. Educational materials, training packs, digital content, and licenses accessible through the platform remain governed by applicable license agreements and contractual documents entered into between the Publisher and the Client. The Publisher remains free to: • evolve the platform; • modify its features; • update its content; • suspend certain services; • or exploit its technologies, content, and know-how in any form and with any third party. Any unauthorized use of protected elements accessible through the platform may give rise to any appropriate action by the Publisher, notably under: • intellectual property law; • contract law; • competition law; • or any applicable regulation. The User acknowledges that Evidentiary Elements, traceability mechanisms, validation systems, electronic signature processes, and technical devices implemented by the platform may also be protected by intellectual property rights or trade secrets belonging to the Publisher. 12. Hosting, security, and service continuity The ILMSKILL platform may rely on infrastructures, cloud services, technologies, systems, and specialized technical providers necessary for its operation, hosting, security, and provision of services offered. The Publisher implements reasonable technical and organizational measures intended to ensure: • platform security; • protection of processed data; • system integrity; • confidentiality of access; • as well as general continuity of services offered. These measures may in particular include: • access controls; • authentication mechanisms; • operation logging; • protections against abusive or malicious use; • monitoring and detection systems; • backup, recovery, or restoration mechanisms; • or any other security measure deemed appropriate by the Publisher. The Publisher may at any time: • evolve technical infrastructure; • modify technologies used; • change host, provider, or technical environment; • perform maintenance operations; • temporarily suspend certain services; • or implement any measure necessary for platform security, compliance, or proper operation. The Publisher does not guarantee: • permanent, continuous, or uninterrupted availability of the platform; • total absence of vulnerabilities, incidents, or security risks; • nor absence of interruptions, slowdowns, data loss, or malfunctions. The User acknowledges that use of a digital platform involves inherent technical risks, notably linked to: • communication networks; • the Internet; • IT systems; • cloud infrastructures; • third-party services; • or external malicious acts. Subject to applicable mandatory legal provisions, the Publisher shall not be liable for: • temporary service interruptions; • unavailability; • technical incidents; • cyberattacks; • data loss; • third-party service failures; • or indirect damages resulting from events beyond its reasonable control. In case of security incident, maintenance, technical evolution, identified risk, or legal obligation, the Publisher may suspend all or part of access to the platform without prior notice where this appears necessary to protect: • systems; • data; • Users; • services; • or the Publisher’s legitimate interests. The Publisher remains free to assess the technical, administrative, and organizational measures it deems necessary to ensure security, stability, and proper operation of the platform. 13. Protection of Personal Data In operating the ILMSKILL platform, the Publisher may collect, use, retain, transmit, or process Personal Data concerning Users, Clients, signatories, or authorized persons using services offered through the platform. Personal Data processing carried out through the platform is performed in accordance with applicable personal data protection regulations, notably Regulation (EU) 2016/679 of 27 April 2016 (“GDPR”) and any applicable national regulation. Personal Data that may be processed may notably include: • identification data; • professional contact details; • connection information; • activity logs; • technical data; • information relating to electronic signatures; • documents transmitted through the platform; • provided supporting documents; • or any other data necessary for operation of services offered. Personal Data processing may notably have the following purposes: • management of user accounts; • provision of services offered through the platform; • license management; • transmission and validation of documents; • electronic signature; • system security; • fraud prevention; • retention of Evidentiary Elements; • support and customer service; • compliance with legal and regulatory obligations; • or defense of the Publisher’s rights. The Publisher implements reasonable technical and organizational measures intended to ensure security, confidentiality, and integrity of Personal Data processed through the platform. Personal Data may be processed by: • the Publisher; • the platform’s administrative services; • technical providers or processors involved in operation of services; • or any authorized person within the framework of pursued purposes. Personal Data may be retained for periods deemed necessary: • for operation of services; • for compliance with legal obligations; • for retention of Evidentiary Elements; • for fraud prevention; • for dispute management; • or for defense of the Publisher’s rights. Detailed terms relating to Personal Data processing, retention periods, rights of data subjects, and conditions for exercising such rights are specified in the Privacy Policy accessible through the ILMSKILL platform. The User acknowledges having read that Privacy Policy when using the platform and associated services. 14. Data retention, logs, and evidentiary elements The Publisher may record, retain, and use Personal Data, Activity Logs, Evidentiary Elements, and technical data in connection with use of the ILMSKILL platform. These elements may notably include: • connection information; • timestamps; • IP addresses; • session identifiers; • actions carried out through the platform; • electronic validations; • electronic signatures; • documents transmitted, downloaded, consulted, or signed; • activity logs; • exchanges with customer service; • as well as any technical data necessary for operation, security, or traceability of services offered. These elements may notably be retained for purposes of: • security; • platform operation; • fraud prevention; • retention of evidence; • dispute management; • defense of the Publisher’s rights; • compliance with legal and regulatory obligations; • or improvement of services offered. The Publisher may retain Activity Logs, Evidentiary Elements, and technical data for periods it reasonably deems necessary in light of: • pursued purposes; • applicable legal obligations; • security requirements; • technical constraints; • contractual requirements; • or evidentiary needs. Retention periods may be adjusted by the Publisher in particular in case of: • legal or regulatory evolution; • case-law evolution; • security risk; • fraud; • litigation; • or technical or operational evolution of services. The Publisher may also retain certain elements after deletion of an account, end of a contractual relationship, or cessation of platform use where such retention appears necessary: • to comply with a legal obligation; • for fraud prevention; • for system security; • for dispute management; • or for defense of its rights. Evidentiary Elements, Activity Logs, and technical data retained by the Publisher may be used as evidence in: • contractual relationships; • administrative or judicial proceedings; • control or audit operations; • or any situation requiring demonstration of an action, validation, connection, transmission, or signature carried out through the platform. Detailed terms relating to retention periods and Personal Data processing are specified in the Privacy Policy applicable to the ILMSKILL platform. 15. Availability, maintenance, and platform evolution The Publisher endeavors to ensure reasonable availability of the ILMSKILL platform and associated services, without however guaranteeing permanent, continuous, uninterrupted, or error-free availability. Access to the platform may be temporarily limited, suspended, or interrupted, notably: • for maintenance operations; • for updates; • for technical evolutions; • for security reasons; • for correction, optimization, or migration operations; • in case of technical incident; • in case of overload; • in case of failure of a third-party service; • or in case of events beyond the Publisher’s reasonable control. The Publisher may intervene on the platform at any time in particular to: • modify features; • evolve services; • correct anomalies; • add, remove, or adapt certain tools; • modify interface or technical architecture; • strengthen security; • or improve overall platform performance. Certain features, services, or content may be: • temporarily unavailable; • removed; • replaced; • limited; • or subject to particular conditions of access or use. The Publisher remains free to evolve technical, commercial, or functional modalities of the platform without this constituting fault, contractual non-performance, or entitlement to compensation. The Publisher may also: • suspend all or part of services; • transfer operation of the platform; • modify its infrastructure; • change technical providers; • or terminate all or part of the platform, notably in case of: • strategic evolution; • restructuring; • merger; • acquisition; • sale of business; • or cessation of operations. Subject to applicable mandatory legal provisions, the Publisher shall not be liable for: • temporary service interruptions; • unavailability; • slowdowns; • loss of access; • technical malfunctions; • or consequences resulting from platform maintenance, evolution, or modification operations. The User acknowledges that technical and functional evolution of the platform is an integral part of normal operation of a digital service. 16. Limitation of liability The Publisher is bound by a best-efforts obligation in operating the ILMSKILL platform and providing services offered. The Publisher implements reasonable technical, organizational, and security measures intended to ensure overall proper functioning of the platform, without guaranteeing: • permanent or uninterrupted availability; • total absence of errors, vulnerabilities, or incidents; • nor absence of malicious acts, external attacks, or events beyond its reasonable control. The User acknowledges that use of a digital platform involves inherent technical risks notably linked to: • communication networks; • Internet infrastructures; • IT systems; • third-party services; • technical environments used; • or external malicious acts. The Publisher shall not be liable for: • information, documents, or content transmitted by Users; • fraudulent, misleading, or unlawful actions of Users; • errors or omissions made by Users; • decisions taken by Users based on content or services offered; • technical incompatibilities linked to the Client’s environment; • integrations carried out by the Client; • interruptions, slowdowns, or unavailability of services; • failures of third-party services; • data loss; • cyberattacks; • malicious acts; • or events beyond its reasonable control. Subject to applicable mandatory legal provisions, the Publisher shall not be liable for indirect, intangible, or consequential damages, including in particular: • operating losses; • loss of revenue; • data loss; • loss of clientele; • loss of opportunity; • reputational harm; • or indirect commercial damage. The User remains solely responsible for: • use of the platform; • access to their account; • transmitted documents; • signatures made; • validations performed; • exploited content; • as well as compliance with regulations applicable to their activity. Liability limitations provided in this article apply to the fullest extent permitted by applicable regulation. 17. Force majeure The Publisher shall not be liable for any delay, non-performance, malfunction, interruption, or impossibility of performing all or part of its obligations resulting from a force majeure event within the meaning of applicable regulation and case law. Events that may constitute force majeure include in particular, without this list being exhaustive: • natural disasters; • fires; • floods; • pandemics; • external labor disputes; • wars; • terrorist acts; • administrative or governmental decisions; • outages or disruptions of communication networks; • major failures of third-party services; • cyberattacks of exceptional scale; • widespread power outages; • or any event beyond the Publisher’s reasonable control. In the event of force majeure, the Publisher may: • suspend all or part of services; • temporarily limit access to the platform; • postpone certain operations; • or take any necessary measure to protect systems, data, or services. Performance of obligations affected by force majeure shall be suspended for the entire duration of the relevant event, without this engaging the Publisher’s liability. If force majeure continues for a duration deemed incompatible with normal continuation of services or contractual relations, the Publisher may terminate all or part of the relevant services or agreements, without compensation, subject to applicable mandatory legal provisions. 18. Modification of the GTU and versioning The Publisher reserves the right to modify, update, supplement, or adapt these General Terms of Use at any time, in particular to take account of: • technical developments of the platform; • functional or commercial developments of services offered; • legal, regulatory, or case-law developments; • security requirements; • operational constraints; • or any development affecting operation of the ILMSKILL platform. The applicable GTU are those in force on the date of: • access to the platform; • use of services; • validation of an operation; • or completion of an electronic signature. The Publisher may inform Users of any modification to these GTU by any appropriate means, including: • display on the platform; • electronic notification; • email; • when logging into an account; • or any other reasonably appropriate technical means. Certain modifications may require renewed acceptance of the GTU by the User in order to continue using all or part of services offered through the platform. The Publisher may keep different versions of these GTU for purposes of: • traceability; • evidence; • compliance; • dispute management; • or compliance with applicable legal and regulatory obligations. Technical elements relating to acceptance of different GTU versions, including timestamps, electronic validations, IP addresses, and associated Activity Logs, may be retained for evidentiary purposes. In case of disagreement with a new version of the GTU, the User must stop any use of the platform and relevant services. 19. Applicable law and competent jurisdiction These General Terms of Use are governed by French law. In the event of a dispute relating to validity, interpretation, performance, platform use, or application of these GTU, the Parties shall endeavor to seek an amicable solution before any judicial action. Failing amicable agreement within a reasonable time, any dispute shall be subject to the exclusive jurisdiction of the courts with territorial jurisdiction over the Publisher’s registered office, including in case of: • summary proceedings; • third-party warranty proceedings; • multiple defendants; • or urgent proceedings, unless otherwise required by mandatory legal provisions. The User acknowledges that the ILMSKILL platform is primarily operated in a professional context (B2B) and that these jurisdiction clauses constitute an essential element of contractual relations between the Parties. The fact that the Publisher does not rely, at any given time, on one provision of these GTU shall not be interpreted as a waiver of its right to rely on it later. 20.
